Loan Administrator
At Lumen Trust, we act as Loan Administrator, managing the operational and administrative aspects of loan and financing agreements.
Our role is to streamline communication among lenders, borrowers and other stakeholders, ensuring that every stage of the transaction is handled with clarity, control and confidence.
Our responsibilities include:
- Tracking deadlines, payments and contractual obligations;
- Managing the flow of funds between the parties;
- Calculating and updating outstanding amounts;
- Sending formal notices and communications;
- Supporting the management of events such as defaults, waivers or restructurings, when needed.

Collateral Agent
At Lumen Trust, we act as a Collateral Agent, responsible for the formalization, administration and monitoring of collateral in structured transactions — always with neutrality, strong commitment and transparency.
Our role is to ensure that all security instruments are properly established, updated and protected throughout the life of the transaction. In an event of default, we also manage the enforcement process in accordance with the agreement.
Our responsibilities include:
- Reviewing and formalizing the collateral;
- Safekeeping of documents and agreements related to the collateral;
- Ongoing monitoring of deadlines, insurances and ancillary obligations;
- Effective communication with all stakeholders;
- Coordination and technical response in case of default or restructuring.
Whether in local deals, under the Brazilian Law No. 14,711/2023 (“Marco Legal das Garantias”), or in cross-border transactions, our focus remains the same: ensuring security, operational efficiency and trust in the management and enforcement of collateral, protecting the interests of the transaction.
Account Administrator / Escrow Agent
At Lumen Trust, we act as Account Administrator, providing secure and transparent management of funds linked to financial transactions, based on clearly defined and strictly followed contractual terms.
We are responsible for managing escrow accounts for each deal, ensuring that funds are only released in accordance with the contractual conditions agreed among the parties.
Our responsibilities include:
- Receiving and controlling funds;
- Releasing payments based on contractual events or instructions;
- Periodic reporting of account activity;
- Acting as a neutral and independent third party, ensuring full transparency and control.
Whether in local or cross-border transactions, whether in BRL or foreign currency, our role is to ensure efficiency, predictability and precision in the execution of the transaction’s financial flows.
Calculation And Monitoring Agent
At Lumen Trust, we serve as Calculation and Monitoring Agent, ensuring accurate calculation of contractual metrics and ongoing tracking of obligations, with focus on transparency, independence and technical precision.
We are responsible for performing the calculations required under the agreements and monitoring compliance with Financial and Non-Financial Covenants, providing clarity and predictability to all parties involved.
Our responsibilities include:
- Calculating key ratios such as debt/EBITDA, interest coverage and others;
- Monitoring periodic obligations and contract-based events;
- Determining amounts due and tracking payment flows;
- Issuing technical reports and notifications to stakeholders.

Paying Agent
At Lumen Trust, we serve as Paying Agent, responsible for organizing and executing the financial flows of the transaction with security, transparency and accuracy.
We receive funds from the borrower or originator and distribute them to creditors/lenders, companies or service providers according to the terms and schedules established in the agreements. With rigorous control and a neutral role, we ensure that all payments are made correctly and on time.
Our responsibilities include:
- Processing and distributing funds in accordance with the agreements;
- Executing schedules for amortizations, interest, fees and other payments.
- Managing escrow accounts and issuing movement reports;
- Communicating with stakeholders.

Intercreditor Agent
In complex structures involving multiple lenders, Lumen Trust acts as Intercreditor Agent, coordinating the relationship among creditors in a neutral, technical and secure manner.
Our role is to represent the creditors as a unified group, ensuring compliance with the rules agreed among them, especially in syndicated loans, layered debt structures or during restructuring and enforcement scenarios.
Our responsibilities include:
- Formal and strategic representation of creditors before the borrower and guarantors;
- Coordination of voting processes, collective decisions and communications;
- Implementation of the Intercreditor Agreement terms;
- Technical support in critical situations.

Extrajudicial Enforcement of Guarantees
Lumen Trust supports the Extrajudicial Enforcement of Guarantees, managing the entire process with technical precision, security and full compliance with Brazilian’s “Marco Legal das Garantias” (Law No. 14,711/2023).
In cases of default, we act to ensure the efficient enforcement of secured assets without resorting to judicial proceedings, always in accordance with the contractual terms and priority rules agreed among the parties.
Our services include:
- Review and preparation of the enforcement process in coordination with specialized legal counsel to be engaged;
- Notification of the parties and monitoring of legal deadlines;
- Reporting, accounting and distribution of proceeds to the creditors.
